Terms & Conditions

By accessing or using the ZenonAI website at zenon.ai ("Site"), downloading or using the Samantha AI agent software ("Software"), or making a donation, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Site or Software.

These Terms apply to all visitors, users, and donors. ZenonAI reserves the right to update these Terms at any time. Continued use after changes constitutes acceptance.

ZenonAI provides an open-source AI agent called Samantha that runs entirely on the user's local machine using Ollama. The Site serves as a landing page, documentation hub, and donation portal for the project.

Samantha is provided free of charge under the MIT Licence. Donations are entirely voluntary and do not grant any additional rights, warranties, or privileges beyond what the MIT Licence already provides.

The Samantha software is licensed under the MIT Licence. You are free to use, copy, modify, merge, publish, distribute, sublicence, and/or sell copies of the software, subject to the conditions of that licence.

The ZenonAI name, logo, and branding are not covered by the MIT Licence and may not be used to represent derivative works without prior written permission.

Donations made through the Site are voluntary financial contributions to support the ongoing development of Samantha. By making a donation you confirm:

• You are at least 18 years of age, or have parental consent.
• You are the authorised holder of the payment method used.
• You understand that donations are generally non-refundable (see our Refund Policy).
• Donations do not constitute a purchase of goods or services.

Payment processing is handled by Paddle, who acts as Merchant of Record. By donating you also agree to Paddle's Terms of Service.

You agree not to use the Site or Software to:

• Violate any applicable laws or regulations.
• Transmit harmful, offensive, or illegal content.
• Attempt to gain unauthorised access to any systems.
• Interfere with the integrity or performance of the Site.
• Scrape or harvest data from the Site in a manner that disrupts service.
• Impersonate ZenonAI or its maintainers.

THE SITE AND SOFTWARE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ZenonAI does not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or harmful components.

The Samantha software is an AI agent. Its outputs are generated by third-party language models (e.g. Mistral, LLaMA). We make no warranty regarding the accuracy, completeness, or suitability of any AI-generated responses for any purpose.

TO THE FULLEST EXTENT PERMITTED BY LAW, ZENONAI, ITS MAINTAINERS, AND CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU DONATED TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

All content on this Site (excluding the open-source Software) — including text, graphics, logos, and design — is the property of ZenonAI and protected by applicable intellectual property laws.

You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

The Site may contain links to third-party websites (GitHub, Paddle, Ollama, etc.). These links are provided for convenience only. ZenonAI has no control over third-party sites and accepts no responsibility for their content or privacy practices.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts.
